Belden Inc. has entered into a definitive agreement to acquire RUCKUS Networks from Vistance Networks in a deal valued at approximately $1.85 billion, marking a major step in its strategy to become a full-stack provider of IT/OT networking solutions. The acquisition significantly expands Belden’s capabilities by adding enterprise-grade Wi-Fi, switching, and AI-driven cloud networking technologies. RUCKUS, which serves more than 48,000 customers globally, is known for delivering high-performance connectivity in complex, high-density environments such as campuses, hospitals, and large public venues.
Ashish Chand, President and CEO of Belden, said the deal accelerates the company’s transformation into an end-to-end networking solutions provider. He highlighted strong customer demand for RUCKUS’ wireless and switching technologies across sectors like hospitality, education, and healthcare, as well as growing opportunities in industrial markets where IT and operational technology (OT) networks are converging.
Strategically, the acquisition introduces product categories Belden did not previously offer, expanding its total addressable market and strengthening its position in enterprise networking. The combination also opens new opportunities to bring advanced wireless and switching capabilities into industrial environments, where demand for reliable, integrated connectivity continues to grow.
A financial perspective, Belden expects the deal to enhance its margins and earnings profile. RUCKUS’ high-margin business and strong cash generation are anticipated to contribute to improved gross margins, EBITDA, and earnings per share. The company also outlined a plan to reduce leverage to below 3.0x within the first year after closing, with a longer-term target of approximately 1.5x by 2029.
The move reflects a broader industry trend toward integrated networking solutions that bridge enterprise IT systems and industrial operations, as organizations seek more unified, scalable, and secure connectivity across increasingly complex environments.
